COACHING AGREEMENT
This Coaching Agreement (“Agreement”) is entered into between REED GALLAGHER PHOTOGRAPHY, LLC, a Texas limited liability company (“RGP”), located at 5233 Bellaire Blvd., Suite 675, Bellaire, TX 77401, and the purchaser (“Client”). Collectively, RGP and Client are referred to as the “Parties.”
1. Program Overview
RGP agrees to provide the Client access to the Booked & Bragged About program (“Program”), a 12-week virtual group coaching experience commencing on the date of purchase and concluding after 12 weeks.
2. Services Provided
As part of the Program, RGP will provide:
* Live Coaching Sessions: Weekly 1:1 Voxer coaching sessions, scheduled by RGP.
* Voxer Office Hours: 12 total days of asynchronous voice and text support through Voxer, with dates determined by RGP. Time frames will be from 8:30 AM CST-6:30 PM CST.
* Training Library Access: Entry to the Booked & Bragged About training materials.
* Community Support: Membership in a private Facebook group for peer interaction and support.
* Resource Templates: Access to a collection of email templates, Canva designs, marketing materials, and swipe copy.
3. Payment Terms
Client agrees to pay for the Program as follows:
* One-Time Payment: $1,997 due upon enrollment.
Access to the Program is contingent upon receipt of payment. This payment is non-refundable.
4. Communication Policy
RGP will communicate with Clients during standard business hours: Monday through Friday, 8:30 AM to 6:30 PM Central Time, excluding holidays. Communication channels include:
* Email: reed@reedgallagher.com
* Facebook Group: For community discussions and support.
* Voxer: For designated Office Hour days once per week.
RGP will not respond to text messages or direct messages on social media platforms.
5. Scheduling and Attendance
* Voxer Office Hours: Dates set by RGP; Clients are responsible for participating during these times. Flexible times will be given in between a time range of 8:30 AM CST to 6:30PM CST to allow for the Client to have proper time to communicate.
RGP is not liable for Client’s inability to attend sessions. In cases of unforeseen circumstances, RGP reserves the right to reschedule sessions and will provide notice as soon as practicable.
6. Cancellation and Refund Policy
All payments made are non-refundable. If the Client chooses to withdraw from the Program for any reason, no refunds will be issued, and the Client remains responsible for any outstanding payments. Program access is non-transferable.
7. Confidentiality
Client acknowledges that all materials provided are proprietary to RGP and agrees not to share, distribute, or reproduce any content without prior written consent. Both Parties agree to maintain confidentiality regarding personal and business information shared during the Program.
8. Intellectual Property
All materials, including but not limited to videos, templates, and written content, are the intellectual property of RGP. Client is granted a non-exclusive, non-transferable license to use these materials for personal business purposes only.
9. Limitation of Liability
RGP makes no guarantees regarding specific results or earnings. Client acknowledges that success depends on individual effort and implementation. RGP shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Program.
10. Force Majeure
RGP shall not be held responsible for any failure or delay in performance due to events beyond its control, including but not limited to natural disasters, acts of God, or governmental actions.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
12. Dispute Resolution
Any disputes arising under this Agreement shall first be attempted to be resolved through mediation. If unresolved, disputes shall be submitted to binding arbitration in Harris County, Texas.
13. Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements. Any modifications must be in writing and signed by both Parties.
14. Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
15. Acknowledgment
By enrolling in the Program, Client acknowledges having read, understood, and agreed to the terms and conditions outlined in this Agreement.
